Job Description

  • Prepare board solution, minutes, notices, annual return and others.
  • Prepare and filing all the statutory documents to the Companies Commission Malaysia and other regulatory authorities inclusive of the authority in Singapore, Labuan, Hong Kong, Cayman and British Virgin Island under the statutory requirements.
  • Arrange and assist in Audit Committee Meeting, Board of Directors' Meeting, Annual General Meeting, Extraordinary General Meeting, Nomination Committee, Remuneration Committee and any other meetings as and when requested and whichever applicable.
  • Filing and maintaining all the statutory books and secretarial documents.
  • Update all the register of members, directors, secretary, substantial shareholders, directors' interest in shares and company charges.
  • Provide statutory documents and information for internal and external parties.
  • Liaise with external auditors and others by providing all the statutory books and records required for auditing and other purposes.
  • Prepare the annual departmental budget.
  • Arrange payment for all the expenses incurred by Company Secretarial Department.
  • Keep tract on latest update and new requirement on company secretarial practice and relevant regulatory bodies.
  • Preparation of Annual Report, Interim Report, announcements, press release, financial statements and any other assignment given by the superior whichever applicable.
  • Assist in the application, renewal and register of licenses for the interest scheme.
  • Oversee subordinates' job duties.
  • Any other secretarial and legal matters; and special assignments as delegated by superior from time to time.
  • Any other duties as assigned by the superior/ management to you from time to time.

Requirements

  • Possess ICSA qualification.
  • An associate member of MAICSA.
  • At least 7 years' experience in the field of company secretarial practice, preferably have experience in a public listed company.
  • Good knowledge of the Companies Act 2016, Listing and other statutory requirements.
  • Well versed in Microsoft Office Applications.
  • Good presentation and communication skills, committed with strong sense of responsibility.
